Terms of Service

1. Acceptance of Terms

By accessing or using the Bump Reviews web application and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Stonegate Labs LLC, operating as Bump Reviews ("we," "our," or "us").

2. Description of Service

Bump Reviews is a software-as-a-service (SaaS) platform that helps businesses collect customer reviews by sending automated review requests via SMS and email. The Service includes customer management, review request delivery, click tracking, analytics, and automated follow-up reminders.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Send review requests to individuals who have not consented to receive communications from you
• Use the Service to send spam, unsolicited messages, or communications that violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or other applicable laws
• Upload or transmit false, misleading, or fraudulent customer data
• Attempt to manipulate review platforms or post fake reviews
• Use the Service to harass, threaten, or intimidate any person
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Interfere with or disrupt the Service or its infrastructure
• Resell or redistribute the Service without our written consent
• Exceed reasonable usage limits or abuse the Service in a way that degrades performance for other users

5. SMS and Email Compliance

You are solely responsible for ensuring that all SMS and email communications sent through the Service comply with applicable laws, including the TCPA, CAN-SPAM Act, and any state or local regulations. You must obtain proper consent from your customers before sending review requests and maintain records of such consent. We reserve the right to suspend or terminate your account if we believe you are violating these requirements.

Recipients of SMS messages sent through Bump Reviews may reply STOP at any time to opt out. We maintain a suppression list and will block all future SMS to any number that has opted out. Opting back in is possible by replying START. We honor all opt-out requests immediately and permanently until reversed by the recipient.

6. Subscription and Billing

The Service is offered on a subscription basis. By subscribing, you agree to pay the applicable fees. Key billing terms:

• Subscriptions renew automatically at the end of each billing period unless cancelled
• You may cancel your subscription at any time; access continues until the end of the current billing period
• We reserve the right to change pricing with 30 days' notice
• Refunds are provided at our sole discretion
• Free trials are limited to one per user/business; we reserve the right to verify eligibility

7. Your Data

You retain ownership of all data you upload to the Service, including customer information. You grant us a limited license to use this data solely to provide the Service. We will handle your data in accordance with our Privacy Policy. You are responsible for maintaining backups of your data.

8. Intellectual Property

The Service, including its design, code, features, and content, is owned by Stonegate Labs LLC and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service. Your use of the Service does not grant you any ownership rights.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
• WE DO NOT GUARANTEE THAT REVIEW REQUESTS WILL BE DELIVERED, OPENED, OR RESULT IN REVIEWS.
• IN NO EVENT SHALL BUMP REVIEWS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
• OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Stonegate Labs LLC (d/b/a Bump Reviews) and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We are not liable for any downtime or service interruptions.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by contacting us or deleting your account through the Service.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
